By purchasing, downloading, accessing, or enrolling in any of our products, courses, masterclasses, audio programs, card decks, books, or services (collectively, the “Products”), you (the “Buyer,” “User,” or “Participant”) explicitly agree to be bound by the following Terms and Conditions, Non-Disclosure Agreement, and Intellectual Property Restrictions.

1. STRICT NO-REFUND POLICY

1.1. All Sales Are Final: Due to the digital, downloadable, educational, and transformational nature of our Products (including but not limited to digital courses, audio activations, downloadable files, membership access, and live masterclasses), all sales are strictly final, non-refundable, and non-returnable.

 

1.2. No Exceptions:Once purchase or registration is complete and access to the materials or digital delivery has been granted, no refunds, chargebacks, or cancellations will be issued under any circumstances, including but not limited to technical issues on the buyer’s end, scheduling conflicts, or a change of mind.

 

1.3. Payment Obligations: If you have opted for a payment plan, you remain legally obligated to complete all scheduled payments. Failure to complete payments will result in the immediate revocation of your access to the Products, without relieving you of your remaining financial obligation.

 

2. INTELLECTUAL PROPERTY RIGHTS & OWNERSHIP

2.1. Proprietary Rights:All content contained on the Websites and within the Products—including but not limited to music, vocal frequencies, audio recordings, channeled chants, written text, books, course curricula, teaching methodologies, concepts, videos, graphics, logos, and materials—is the exclusive intellectual property of Nianell and EMIT Change.

 

2.2. Copyright Protection:All creative works and educational methodologies are protected under international copyright, trademark, and intellectual property laws. All rights not expressly granted herein are reserved solely by us.

 

3. LIMITED, NON-EXCLUSIVE LICENSE

3.1. Personal Use Only:When you purchase or access a Product, you are granted a single, limited, non-exclusive, non-transferable, revocable license for personal, non-commercial, educational use only.

 

3.2. Prohibited Acts: You explicitly agree that you will NOT

 * Copy, modify, replicate, adapt, or create derivative works based upon our Products or teachings.

 * Share, distribute, sell, rent, sub-license, or publicly display any portion of the Products, including sharing login credentials with third parties.

 * Use our proprietary sound frequencies, audio card decks, or vocal harmonics for commercial audio distribution or public broadcast without prior express written consent.

 * Repurpose, re-teach, or market our proprietary methodologies (including the curriculum of any training programs or masterclasses) as your own framework, or teach them to others for commercial gain.

 

4. NON-DISCLOSURE AND CONFIDENTIALITY

4.1. Confidential Information: During your participation in our programs or through your access to our Products, you may be exposed to proprietary concepts, trade secrets, curriculum structures, behind-the-scenes techniques, and personal information shared by Nianell, team members, or other participants (collectively, “Confidential Information”).

 

4.2. Duty of Confidentiality: You agree to keep all such Confidential Information strictly confidential. You shall not disclose, publish, communicate, or utilize any Confidential Information to any third party, online platform, public forum, or competitor.

 

4.3. Surviving Term:The obligations under this Non-Disclosure section shall survive indefinitely, even after you have completed or ceased using the Products.

 

5. ENFORCEMENT AND REMEDIES

5.1. Injunction and Damages: You acknowledge that any violation of the Intellectual Property or Non-Disclosure provisions of this Agreement will cause irreparable harm to Nianell and EMIT Change, for which monetary damages alone would be inadequate. Therefore, we reserve the right to seek immediate injunctive relief to stop the unauthorized use, alongside claiming substantial financial damages and legal fees.

 

5.2. Termination of Access:Any suspected breach of this agreement will result in the immediate termination of your access to all products, platforms, and courses, without warning and without any refund or liability.

 

6. DISCLAIMER OF LIABILITY & GUARANTEES

6.1. No Guarantees:While our educational, motivational, and transformational training programs are designed to facilitate profound growth, we make no guarantees, warranties, or representations regarding specific personal, spiritual, professional, or financial outcomes. Your results depend entirely on your own application, dedication, and integration of the material.

 

6.2. Not a Substitute for Professional Care:The spiritual mentoring, frequency work, and transformational modalities offered on these Websites are intended for educational and self-development purposes only. They do not constitute medical, psychological, or financial advice and should not replace professional consultation.

 

7. GOVERNING LAW

7.1. This Agreement shall be governed by, construed, and enforced in accordance with the laws of South Africa, without regard to conflict of law principles. Any legal actions or proceedings arising out of this Agreement shall be brought exclusively in the courts of South Africa.

 

ACKNOWLEDGEMENT AND ACCEPTANCE
